One adviser, start to finish
The person who scopes your engagement is the person who does the work and signs the advice. Nothing is handed down a bench.
Melbourne · Victoria
We work beside directors and owners on the decisions that are difficult to reverse: structure, contracts, transactions and the numbers behind them.
An Australian-registered private company based in the Melbourne CBD, working with businesses across Victoria.
How we work
Most of what we are asked to do sits between the accountant and the lawyer — the commercial judgement that neither is engaged to make. We take that part.
The person who scopes your engagement is the person who does the work and signs the advice. Nothing is handed down a bench.
Every engagement closes with a written recommendation, the options considered, and what we would do differently if the facts changed.
We coordinate with your accountant, tax agent and solicitor rather than replacing them, and we say plainly when a matter belongs to one of them.
Services
Engagements are scoped to a defined question and a defined output — a structure recommendation, a negotiated contract, a board pack, a completed transaction.
Holding and operating entity arrangements, constitutions and shareholder agreements, director duties and delegations, and a board reporting rhythm that a small company can actually sustain. We map the group you have, then set out the group you should have and the order to get there.
Supply, distribution, services and lease agreements reviewed and negotiated before signature — with the commercial risk explained in the same language as the clause.
Buy-side and sell-side support: deal structure, due diligence coordination, conditions precedent, and the sequencing of a hand-over between generations or owners.
Management accounts that answer a question, rolling cash-flow forecasts, budget-against-actual review, and a monthly pack a board can read in fifteen minutes.
An obligations register your team can maintain, entity housekeeping kept current, and policy and delegation frameworks sized to the business rather than to a template.
Engagement
We would rather decline an engagement than run one with an open scope. The first conversation exists to find out whether there is a defined question to answer.
You describe the decision in front of you. We tell you what we would need to see, and whether this is properly our work or your accountant's or solicitor's.
A written engagement note: the question, the documents we need, the output you receive, who does the work, and the fee basis. Nothing starts before you accept it.
A written recommendation with the reasoning attached, walked through with you, and the implementation steps in the order they need to happen.
The practice
Lempriere Harrington Pty Ltd is a private advisory company registered in Victoria and based in the Melbourne CBD. We keep the practice deliberately small so that the adviser you meet is the adviser who does the work.
The businesses we work with are typically owner-led and privately held — the kind that have outgrown informal arrangements but are not yet carrying a full executive bench.
Group structure, ownership and the reporting line between them — drawn before anything is changed.
One email with the entity name and the question is enough to start. If it is not our work, we will say so and point you to whose it is.
